1. General

These Terms and
Conditions (the "Affiliate Agreement") govern the Affiliate Program that is made available by HYSSES Australia ("HYSSES",
"we" or "us"). These Terms and Conditions represent the whole agreement and understanding between HYSSES and the
individual or entity who participates in the Affiliate Program (the "Affiliate", or "you").

Please read this agreement careful as it represents a legally binding agreement between you and HYSSES. By submitting your application and by your use of the Affiliate Program, you agree to comply with all of the terms and conditions set out in this Affiliate Agreement. HYSSES may terminate your Affiliate Account at any time, with or without notice, for conduct that is in breach of this Affiliate Agreement, for conduct that HYSSES believes is harmful to its business, or for conduct where the use of the Affiliate Program is harmful to any other party.

2. Referral Tracking

HYSSES will provide the Affiliate with specific Referral Links or coupon code  to link advertisements and other marketing content to HYSSES. HYSSES will track users who have visited these Referral Links using cookies which expire after 30 days. Only users who make a purchase while the cookie is active will be considered referrals of the Affiliate and recorded as such in the Affiliate Dashboard.

The Affiliate is not authorized to modify or alter the Referral Links or the cookies in any way. HYSSES is not responsible for any tracking or reporting errors that may result from any modifications to the Referral Link or the cookies.

3. Affiliate Fees and Payouts

A referral will become eligible for payout ("Eligible Referral") at the end of the next calendar month if it meets all of these criteria:

1. The referral makes a purchase using the link from the Affiliate
   Site or uses the coupon code in the Estore, which has been assigned to
   the Affiliate during checkout, and that the porudct is paid by the
   customer, and shipped and the product is not returned within 30days after
   the receipt
2. The referral's account remains active and in good standing.
3. The referral's account has not had any of its payments refunded,
   charged back or otherwise reversed.

All web page error requests (such as 403 errors or 404 errors) will direct traffic to a default HYSSES error page. This error page informs visitors that the web page they are looking for cannot be found, and may include, but without limitation
to, the following:

1. Links to additional products and services offered by HYSSES.
2. Advertisements for products and services offered by third-parties.
3. An internet search engine interface.

Failure to meet any of these criteria will permanently void the referral and disqualify the
referral from any potential payouts.

All Affiliate Fee payments will be payable in Australian Dollars only, except as otherwise determined by HYSSES in its sole discretion. Payment will be made through PayPal against a valid invoice issued by the Affiliate using the invoice generation and submission tool located in the Affiliate Dashboard. The Affiliate is responsible for providing HYSSES with the full and accurate details that are required to remit the Affiliate Fees, and is solely responsible for any delays in payment resulting from its failure to do so.

Referrals will become void, and any unpaid Affiliate Fees will be forfeited, after 12 calendar months.

In the event of any activity deemed suspicious by HYSSES, HYSSES may delay the payment of Affiliate Fees by up to 6 calendar months to verify the relevant transactions. HYSSES reserves the right to recalculate, void, or disqualify any referrals or
Affiliate Fees in the event of any fraudulent, deceptive or otherwise illegal activity.

Referrals for purchases made through HYSSES promotional or special offers are not eligible for payout.

4.Advertisements

HYSSES hereby grants the Affiliate a non-exclusive, non-transferable, limited license to use the HYSSES logos for the sole purpose of promoting our service within the context of the Affiliate Program. This license will expire upon termination of
the Affiliate's participation in the Affiliate Program.

The Affiliate may only display advertisements that contain HYSSES's logos or service marks in good taste. The Affiliate may not use HYSSES's logos or service marks in a manner that, in HYSSES's sole discretion, portrays HYSSES in negative light.

Our general policy is not to delete your comments on HYSSES Australia’s social media pages, even if they are very critical of us, but there are a few reasons we may take down your posts. These are: (a) if your post may offend anyone; (b) if your post attacks another contributor or HYSSES Australia personnel; (c) if you flood our feed, making it difficult for others to get a word in; (d) if you
post information that may endanger your privacy; (e) if your post is off topic.

While we support lively, open discussion, we reserve the right to block any users who don't comply with our rules, or who are otherwise deemed to be behaving inappropriately.

The Affiliate will be solely responsible for its own marketing activities. All marketing activities must be professional and in full compliance with all applicable laws.

HYSSES may, without prior notice, require the Affiliate to remove or modify any advertisements in HYSSES's sole discretion.

5. Advice and Information

The advice and information contained within or provided through this site is of a general nature and is not intended to constitute or replace professional advice for individual or specific conditions. The statements and products are not intended to diagnose, treat, cure or prevent any condition or disease.

Use of the site is not meant to serve as a substitute for professional medical advice. The site is solely an online store for specialty beauty products. Please consult with your own physician or health care practitioner regarding the use of any goods, products or information received from the site before using or relying on them. Your physician or health care practitioner should address any and all medical questions, concerns and decisions regarding the possible treatment of any medical condition. HYSSES Australia does not give or intend to give any answers to medical related questions. No prescription medications or medical
treatments are intentionally provided on the site.

While we make every effort to ensure that the information contained within this website is correct, to the extent permitted by applicable law, we do not warrant that the product or service descriptions, colours, ingredients, information or other content available on or via the site is accurate, complete, reliable, current, available or error-free.  We take no responsibility for any loss or damage arising from use of information or reliance on advice.

While HYSSES has tried to accurately display the colours of products, the actual colours you see will depend on your device, ambient lighting and other factors beyond HYSSES reasonable control, and may not accurately
reflect the colour of the product. As HYSSES products are 100% natural, we do not guarantee consistency of colour, scent intensity as the essential oils are not subjected to any form of adulteration and are purely dependent on the harvest.

Reference to any products, services, processes or other information by trade name,trademark, supplier or otherwise does not constitute or imply endorsement, sponsorship or recommendation thereof by HYSSES.

6. Reviews & Comments

Throughout the use of the site users may be invited to review certain products, or request information in relation to products or participate in forums (‘Content’). If you do submit such Content, you give HYSSES permission to use,
reproduce (in any medium), modify and publish that content in a worldwide, royalty-free, irrevocable manner. This license will survive the termination of these terms and conditions and Affiliate’s use of the site. Affiliate  permits HYSSES to publish your first
name and State or Town in association with any Content provided by you.

By submitting Content, Affiliate represent and warrant that:(a) you understand that you are participating in a public forum and that your Content will be available to all other users of the site; (b) you are the sole author and owner of the intellectual property and other rights thereto (or have the necessary licenses, rights, consents and permissions to use and authorise HYSSES to use all intellectual property and other rights thereto to enable inclusion and use of the Content in the manner contemplated by the site and
these terms and conditions; (c) you waive any and all existing and future moralrights (as defined in the Copyright Act 1968 (Cth)) in the Content; (d) all Content that you post is accurate; (e) You are at least 18 years old or, if you are a minor, that you have obtained the consent of your parent or legal guardian to use the site and agree to these terms and conditions; and (e) that the Content you supply does not violate these terms and conditions and will not cause injury to any person or entity.

Affiliate also represent and warrant that any Content you submit: (a) is not false, inaccurate or misleading; (b) does not harm minors; (c) does not infringe any copyright, patent, trademark, trade secret or other proprietary rights or rights of publicity or privacy of any person or entity; (d) does not violate any obligations you may have with respect to such Content under any law or under contractual or fiduciary relationships (such as, but not limited to, inside information, proprietary and confidential information learned or
disclosed as part of employment relationships or under nondisclosure agreements); (e) does not violate any law (including, but not limited to, those governing export control, consumer protection, unfair competition, anti-discrimination or false advertising); (f) is not, or would not reasonably be considered to be, unlawful, harmful, defamatory, vulgar, obscene, invasive of another's privacy, hateful, racially or religiously biased or offensive, abusive, tortious, threatening or harassing to any individual or any business; (g) does not include any information that references other websites, addresses, email addresses, contact information or phone numbers; (h) is not submitted for compensation or other consideration from any third party; (i) is not unsolicited or unauthorised advertising, promotional materials or any other form of solicitation; and (j) does not contain any computer viruses, worms or other potentially damaging computer programs or files. Users must not post Content which seeks to impersonate any person or entity, including, without
limitation, any HYSSES personnel, or to falsely state or otherwise misrepresent its affiliation with a person or entity. Users may not use the site to collect or store personal data about other users.

HYSSES reserves the right to not post a review or to withdraw a posted review for any reason. A review posted by a user will be excluded if it violates the Agreement regarding submission of Content.

User reviews of products in no way represent the views or opinions of HYSSES or its owners, shareholders, employees or others, but are the sole product of its creator. HYSSES disclaims all liability with respect to the Content.

7. Termination

The Affiliate may terminate the Affiliate's participation in the Affiliate Program with immediate effect by giving the other party a written notice of termination.

HYSSES reserves the right to terminate the Affiliate's participation in the Affiliate Program at any time for conduct that is in material breach of this Affiliate Agreement or for conduct that HYSSES, in its sole discretion, deems to be harmful to its business or any third party.

Upon termination, the Affiliate will lose access to its Affiliate Dashboard and will forfeit all potential or unpaid Affiliate Fees.

8. Relationship of Parties

HYSSES and the Affiliate are independent contractors. Nothing in this Affiliate Agreement will create any partnership, employment, representative, agency, or joint venture relationship between the parties. The Affiliate has no authority to act on HYSSES's
behalf.

9. Intellectual Property

All content on this site, including without limitation text, icons and graphics are the property of HYSSES or its suppliers and are protected by Singapore and International intellectual property laws. No part or portion of this site may be copied, sold or used in any manner for any commercial purpose without written consent. Nothing in these terms and conditions constitutes a transfer
any intellectual property rights

10. Limitation of Liability

The Affiliate Program is provided on an "as is" and "as available" basis and the use of the Affiliate Program is at the Affiliate's own risk. HYSSES makes no representations or warranties, either expressed or implied, with respect to the Affiliate Program, or any service or information provided through the Affiliate Program.

HYSSES will not be reasonable or liable (whether in contract, tort (including negligence) or otherwise), under any circumstances, for any (a) interruption of business; (b) access delays or access interruptions to the site; (c) data non-delivery, misdelivery, corruption, destruction or other modifications; (d) computer viruses, system failures or malfunctions which may occur in connection with your use of the site, including during hyperlink to or from third party websites; (e) any inaccuracies or omissions in Content, or (f)
events beyond our reasonable control.Should any part of the Affiliate Program cause damage or inconvenience
to the Affiliate or anyone claiming through the Affiliate, the Affiliate assumes responsibility and the entire cost for them.

The Affiliate will indemnify and hold harmless HYSSES, its directors, officers, employees, agents, subsidiaries, and third parties from and against any losses, damages, liabilities, claims, judgments, settlements, fines, costs and expenses
(including reasonable related expenses, legal fees, costs of investigation) arising out of or relating to the Affiliate's or any third party's operations or use of the Affiliate Program.

11. Modification

HYSSES may, in its sole discretion, change or modify this Affiliate Agreement at any time, with or without notice. Such changes or modifications shall be made effective for all Affiliates upon posting of the modified Affiliate Agreement to this web address: http://www.HYSSES.com. The Affiliate is responsible for reading this document from time to time to ensure that its use of the Affiliate Program remains in compliance with this Affiliate Agreement.

If any modification is unacceptable to the Affiliate, its sole recourse shall be to terminate this Affiliate Agreement. The
Affiliate's continued participation in the Affiliate Program will constitute binding acceptance of such modifications.

Occasionally there may be information on the site that contains typographical errors, inaccuracies, or omissions that may relate to product descriptions, pricing, promotions, offers, and availability. HYSSES Australia reserves the right to correct any errors, inaccuracies or omissions and to change or update information or cancel orders if any information on the site is inaccurate at
any time without prior notice (including after you have submitted your order).

12. Miscellaneous

The Affiliate warrants and represents that it is over the age of 19 and is qualified to enter into this Affiliate Agreement.

The Affiliate warrants and represents that its actions and its participation in the Affiliate Program is in compliance with all applicable laws, rules, regulations, and any requirements of governmental authority at all times. HYSSES reserves the right to terminate the Affiliate's participation in the Affiliate Program if HYSSES determines, in its sole discretion, that the Affiliate's actions or its
participation in the Affiliate Program is in violation of any laws, rules, regulations, or any requirements of governmental authority.

This Affiliate Agreement constitutes the entire understanding between HYSSES and the Affiliate. This Affiliate Agreement supersedes any other contracts or understandings between the parties hereto and neither party shall be bound by any statements or representations that are not embodied in this Agreement.

Any dispute arising in relation to this Affiliate Agreement shall be exclusively resolved in the Courts of the Republic of Singapore

13. Review of Terms

If any provision of these terms and conditions is deemed invalid by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these terms and conditions, which shall remain in full force and effect. No waiver of any term of these terms and conditions shall be deemed a further or continuing waiver of such term or any other term, and HYSSES failure to assert any right or provision under these terms and conditions shall not constitute a waiver of such right or provision
